Listing AutomatEr Referral Agreement

This agreement is between Neoasis LLC, a Colorado limited liability company doing business as Listing AutomatEr ("Neoasis"), and the person or business named below ("Rep").
- What Rep does. Rep introduces real estate brokerages and agents to the Listing AutomatEr software and invites them to start a trial or a subscription using Rep's code. Rep decides when, how, and how much to work. Neoasis does not set hours, quotas, or methods. Neoasis may supply approved written materials and a completion schedule for any specific project Rep agrees to take on.
- Not exclusive. Rep may work for anyone else, including other software companies, at any time. Neoasis may use other reps and other channels.
- Pay is commission only. Neoasis pays Rep 30 percent of every payment Neoasis actually collects from a subscription that was started with Rep's code, for the first 12 months of that subscription, and 10 percent of every payment collected after month 12 for as long as that subscription stays active, subject to section 8. Rep has one code, and it earns on the same terms on any Neoasis app the customer buys, the software named above or any other app sold at neoasis.ai. In addition, Neoasis pays Rep a $50 bounty on the first payment Neoasis actually collects from each new subscription started with Rep's code; the bounty is carved out of that collected payment. There is no salary, hourly pay, draw, advance, sign on bonus, pay per call, pay per demo, recruiting pay, or expense reimbursement. Commission is calculated on the amount collected after any discount. Neither commission nor the bounty is earned on trials, unpaid invoices, or failed charges. Nothing is paid before Neoasis has collected the payment it is paid from.
- When Rep is paid. Neoasis sends a statement and payment twice a month, on the 1st and the 16th, covering the payments collected in the period that just closed. Each commission on a subscription billed monthly, and every bounty, appears on the next statement after the payment it comes from is collected, and the statement lists the app for each line. When a customer pays for a full year in one payment, the commission on that payment is not paid on a single statement: it is divided into twelve equal parts, one part paid on the statement that covers the collection and one on each of the eleven following monthly anniversaries of that collection date. The twelve parts add up to the whole commission to the cent, and any remainder rides on the twelfth part. The $50 bounty is never divided; it is paid in full on the statement that covers the first collection. The period for the 16th statement closes at 11:59 pm Mountain Time on the 15th, and the period for the 1st statement closes at 11:59 pm Mountain Time on the last day of the prior month. The statement is issued and the transfer is sent on the 1st or the 16th accordingly; the transfer settles when Rep's bank posts it, usually within a few business days. Example: a customer's first payment collected on March 14 appears on the March 16 statement, the transfer is sent March 16, and it settles when Rep's bank posts it. Payment is by bank transfer to the account Rep provides. Rep must provide a completed IRS Form W9 (Request for Taxpayer Identification Number and Certification) before the first payment. If Rep operates under a business name, payment is made to that business. Where Arizona law applies, commissions due at termination are paid within 30 days, and commissions that become due afterward within 14 days after they become due. Rep acknowledges receipt of the fully signed agreement.
- Clawback. If a customer's payment is refunded, disputed, or reversed, any commission or bounty already paid on that payment is deducted from Rep's next statement. If a subscription cancels or is refunded within 30 days of its first payment, no commission and no bounty is earned on it, and any amount already paid on it is deducted from Rep's next statement. While a card dispute on a customer's payment is open, any part of the commission on that payment that has not yet been paid is held, and the statement shows it as a held line at zero dollars. If the dispute is won, the held parts resume and are paid. If the dispute is lost, the parts not yet paid are cancelled. If a deduction is larger than the statement it lands on, the remainder carries forward to Rep's later statements; Neoasis does not bill Rep for a negative balance.
- What Rep may not say. Rep may describe the software only as stated in the materials Neoasis provides. Rep may not promise any income, lead count, or result to anyone. Rep may not offer refunds, discounts, or price changes other than the code Neoasis issued. Rep may not name any third party listing portal, any multiple listing service, or any brokerage's internal policy as fact. Rep may not tell anyone that Neoasis or Rep can grant permission to market a listing; permission always comes from the listing brokerage. Rep may not use Neoasis's name, logo, or the Listing AutomatEr trademark except in the materials provided. Rep may not send bulk email or text messages on Neoasis's behalf. Rep may not post about Listing AutomatEr on any Meta property except the approved Meta safe recruiting post, once, from Rep's own profile, in Rep's own metro. Rep may not log into a customer's Facebook account for any reason. Anything Rep posts about Listing AutomatEr anywhere carries the trademark footer from the kit. Rep does not record calls. Rep dials by hand, speaks live, sends no text messages, and calls only during business hours in the time zone of the office being called.
- Rep's own business. Rep provides Rep's own phone, computer, internet, and any other tools, and pays Rep's own expenses. Rep is responsible for any registration or license Rep's own business needs.
- Ending this agreement. Either side may end this agreement with written notice at any time. If this agreement ends for any reason other than a breach of section 6, commissions on subscriptions already started with Rep's code continue to be paid under section 3 for the life of those subscriptions. A breach of section 6 ends Rep's authority to start new subscriptions after a written notice and a written reply step; commission already earned is paid.
- Confidentiality. Customer names, contact details, and pricing not shown publicly are confidential. Rep sees only what the statement shows.
- Law and venue. Colorado law governs. Any dispute is heard in the City and County of Denver, Colorado.
Rep is an independent contractor, not an employee. Rep is not entitled to unemployment insurance benefits unless unemployment compensation coverage is provided by Rep or some other entity. Rep is obligated to pay federal and state income tax on any moneys paid under this agreement. Neoasis will not withhold taxes and does not provide health insurance, workers' compensation, or any other benefit.
